Terms of Service
These terms govern your use of Nib, a software product operated by Secret Key LLC, a Wyoming limited liability company ("Nib", "we", "us"). By creating an account or using the software, you agree to these terms.
1. The service
Nib is an agentic coding tool. It consists of a command-line client, a desktop distribution, a hosted model gateway, and the documentation that describes them. Your subscription includes a monthly allowance of usage credits and, where stated, access to a set of models through our gateway.
Nib is a distribution of the open-source OpenCode project. We are not affiliated with, endorsed by, or sponsored by the OpenCode maintainers. Third-party names and marks belong to their owners.
2. Accounts
- You must be at least 18 years old and able to enter a binding contract.
- You are responsible for the accuracy of your account information and for keeping your credentials secure.
- One person per account. A plan's concurrency limit decides how many sessions — and therefore how many people — can use it at the same time.
- You must not share API keys, resell raw API access, or use the service to provide a substantially similar gateway to third parties.
3. Subscriptions and credits
Plans are billed monthly in advance. Each plan includes a number of credits that reset at the start of each billing period. Unused plan credits do not roll over.
Top-up credits are purchased separately and remain valid for 12 months from purchase. Top-up credits are consumed only after plan credits are exhausted.
Ten credits equal one US dollar of usage at the rates published in the app. We may change those rates with at least 30 days' notice; credits already purchased keep their value.
If you exceed your plan's weekly or daily cap, requests are rejected until the relevant window resets. Caps exist to prevent a single runaway session from consuming a full month.
4. Payment
Payments are processed by third-party payment providers acting as merchant of record where applicable. You authorise us and our providers to charge your selected payment method at the start of each period until you cancel.
Prices are shown in USD and exclude applicable taxes. Tax is calculated at checkout based on your location.
5. Cancellation and refunds
You may cancel at any time. Cancellation takes effect at the end of the current period; service continues until then, and no further charges are made.
First subscriptions may be refunded within 14 days of purchase, less the value of credits already consumed. Renewals and top-ups are non-refundable once the period has started or credits have been used. Full details are in our Refund Policy.
6. Acceptable use
You must not use Nib to:
- Violate any law or regulation, or infringe the rights of others.
- Generate malware, conduct unauthorised access, or attack systems you do not own.
- Circumvent rate limits, quotas, or authentication controls.
- Resell raw model access, or operate a competing gateway on top of the service.
- Share account credentials or use the service in a way that exposes it to automated abuse.
- Process data you are not authorised to process, including regulated personal data without a lawful basis.
We may suspend accounts that create security, legal, or abuse risk, and will explain the reason unless prohibited by law.
7. Your content and outputs
You retain ownership of your code and your inputs. You own the outputs generated for you, subject to the terms of the model providers we route to. We claim no licence over your repository content.
You grant us a limited licence to process your inputs and outputs solely to operate the service, including routing, billing, and abuse prevention. We do not use your code to train models.
8. Availability and support
We aim to keep the gateway and the client working, but we do not guarantee uninterrupted service. Planned maintenance and upstream provider outages can interrupt inference. Support is provided by email at [email protected]; response times depend on your plan.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to these terms is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data.
10. Changes
We may update these terms. Material changes will be announced by email or in-app at least 14 days before they take effect. Continued use after that date constitutes acceptance.
11. Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, unless applicable law requires otherwise.
